Orange City Council backed the proposal by BidFood Australia for the project to go ahead.
The Astill Drive development is expected to generate about 20 jobs.
The development application for the warehouse said it would operate 24 hours a day, seven days a week.
However council rejected plans by the proponent of a solar farm on Molong Road to be allowed concessions over landscaping and the eventual clean up of the site.
Some councillors said it could be seen as a 'protest' over the project being approved by the Western Regional Planning Panel last year after council opposed the site of the project.
Reasons for the objection to the concessions included a concern about a lack of confidence in the solar farm proposal.
The council also agreed to allow the Orange Regional Museum to include the words 'Wiradjuri Country' in its postal address.
However councillors voted down part of the recommendation that would have seen the words added to all council property.
Councillors said the idea needed a full report and suggested it be left until the next council is elected at polls due to be held on December 4.
