The offer was made at an information meeting attended by more than 150 members of both clubs this week.
An amalgamation would see three greens available at the OCBC for bowls use in Orange.
OESC CEO Daniel Perkiss said the money would be available as part of a plan to support the game of bowls.
"OESC would deploy [about] $3 million into upgrading the Warrendine Street site," he said.
The prospect of combining 300 bowlers into one site and developing and growing the game of bowls in Orange is an exciting prospect.

Mr Perkiss said the aim was for the OCBC to become a destination for not only bowlers but the wider community.
"The prospect of combining 300 bowlers into one site and developing and growing the game of bowls in Orange is an exciting prospect," he said.
Mr Perkiss said this week's meeting had been positive with the possibility of a memorandum of understanding being prepared this year.
He said any amalgamation would have "nil impact" on jobs at either club with a continuity of employment assured.
OCBC secretary manager Neil Southcombe said the information meeting "went well" and the club would now discuss the plans.
"The meeting seemed very positive for both clubs," he said.
Mr Southcombe said the OCBC board was due to meet next week.
"Our next step would be to have a night to discuss it with the members," he said.
Mr Southcombe said the club did not have a list of improvements it would like to see the OESC money spent on.
However, he said they wanted to ensure the greens staff were able to continue to prepare the greens to a high standard for players.
The move follows the amalgamation of the OESC and Wentworth Golf Club last year.
Work is now continuing on developing a new clubhouse and improved facilities for golfers at the Wentworth course.
