Councillors voted in favour of allocating $310,000 to the build in the 2020-21 budget on Tuesday night.
However, the remaining $310,000 is yet to be sourced - an application has been submitted for state government funding.
Orange Show Society president Peter Naylor said the plans had been in the works for at least three years and the facilities would solve several problems.
"No one wants to hire it out when they have to find toilets, that's the reason we've pushed it," he said.
"It will save the hiring of toilets and people can change their kids if something happens."
Mr Naylor said the disabled toilet and first aid room would also make a difference.
"We're hoping it will create an income for the showground so it can go back into fixing up the showground," he said.
The pavilion faced budget shortfalls when it was built and had to be scaled back.
On Tuesday night, councillors queried the $620,000 price tag.
"The shed's made of tin, the bits that are attached to it are going to be made of tin," mayor Reg Kidd said.
Councillor Glenn Taylor asked whether the facilities could be accommodated internally.
"You could build a substantial, very high quality four-bedroom home for that," he said.
However community services director Scott Maunder said it could drive the cost even higher.
"There were some technicalities around the actual location of the toilets and in regards to the number of toilets required for the size of that building," he said.
"If they're inside the building, the number of toilets is actually much larger than the current design so the design sits the toilets off the building so we don't have to comply."
Mr Maunder acknowledged it was a conservative estimate, but it had been compiled by a quantity surveyor.
The grant has been entered into the Regional Agricultural Show Development program.
